European Commission recommends changes to Spain’s draft Royal Decree on countrywide mandatory e-invoicing
The European Commission has recommended changes to a preliminary draft Royal Decree 18/2022. Aiming to implement Crea & Crece Law, this draft focuses on boosting company creation and growth by, among other measures, requiring electronic invoicing in the business
The draft Royal Decree outlines the requirements for electronic invoicing, mandating advanced electronic signatures to ensure the authenticity and integrity of invoices exchanged between businesses. It also stipulates that private platforms facilitating these exchanges must operate in accordance with EU Regulation No. 910/2014.
The notified draft Royal Decree covers e-invoicing for both natural and legal persons. After examining the draft submitted on 2 February 2024, the European Commission noted the following.
The draft mandates advanced electronic signatures for electronic invoices exchanged in B2B transactions, compliant with EU Regulation No. 910/2014. However, this regulation distinguishes between “electronic signatures” for natural persons and “electronic seals” for legal entities, ensuring document authenticity and integrity.
The European Commission noted no infringement of EU Law. Nevertheless, to avoid ambiguity, the Commission strongly recommends using “advanced electronic signatures or seals” instead of “advanced electronic signatures” to align with EU Regulation No. 910/2014, which differentiates between electronic signatures (for natural persons) and electronic seals (for legal entities).
The Commission has requested the Spanish authorities to consider these recommendations and to notify the Commission of the final text once adopted, as required by Article 5(3) of EU Directive 2015/1535.
